Are you aware of Pennsylvania’s decennial filing?
The decennial filing is a “report of an entity’s continued existence or a report of continued use of certain marks,” according to the Pennsylvania Department of State. Filings are made every 10 years during years ending in 1, making 2021 time to file. The deadline is Dec. 31.
According to the department, all domestic and foreign business corporations, nonprofit corporations, limited liability companies, limited partnerships, limited liability partnerships that are not also limited partnerships, business trusts, as well as insignias and marks used with articles and supplies that have not made a new or amended filing with the Bureau of Corporations and Charitable Organizations Bureau from Jan. 1, 2012 thru Dec. 31, 2021, must file a report that they continue to exist.
Brokerages should file, with the exception of an entity that has been created or amended with proper paperwork since Jan. 1, 2012. Another exception is a business corporation that has had officer information forwarded to the Department of State by the Department of Revenue during the preceding 10 years.
The cost to file is $70 and the file for continued existence is here, while the file for insignias and marks used with articles and supplies is here.
